Oak & Almond Carpentry: Terms & Conditions.
Definitions Goods: All materials that Oak & Almond is required to supply to the purchaser under the contract.
Customer: The prospective purchaser of goods and services.
Quotation: The fixed price offer that cannot be changed once accepted by the customer.
Estimate: An estimate is an approximate price that may change. Order: A specific request asking Oak & Almond to supply goods or products to a customer.
Contract: A written agreement between the customer and Oak & Almond outlining works required and the final price for said works.
Installation/Works: Includes all carpentry work and the construction, alteration, fitting, repairing, dismantling, renovating, converting, designing, or building of bespoke fitted furniture, wardrobes, and doors.
Oak & Almond: Oak & Almond Carpentry
General
Any contract between Oak & Almond and any of its customers, in supplying goods or services, shall be included in these conditions, exclusive of any terms and conditions attached to the customers order. Any waiver of these conditions by the customer at any time shall not be accepted unless specifically agreed to by both parties, in writing, and with reference to the particular works previously agreed to. All other conditions remain in full force and effect. All contracts between the customer and Oak & Almond must have a written acknowledgment and be formally accepted by both parties.
Price and Payment
The price of goods must be stated on the quotation/estimate provided by Oak & Almond in a written document.
Payment must be made in full within 7 days of the date of the invoice for any work carried out at the customer's property.
In the event of late payment where interest and debt recovery costs are accrued, the costs will be claimed according to Oak & Almonds statutory rights, including interest and compensation for the costs involved in doing so.
In all orders over £1000, inclusive of VAT, the customer may, at the discretion of Oak & Almond, be liable to a credit check after written consent has been given by the customer.
For all orders, a deposit will be requested when booking the initial design visit. This amount will be deducted from the final amount if the client proceeds with the project.
The remaining payments will be staged during the project, percentages to be clearly communicated with the client during the tender & design process. The remainder of the costs will be payable on completion within 7 days of the invoice date.
All payments made to Oak & Almond are non-refundable unless otherwise agreed upon by both parties.
Quotations
Any quotation or estimate given to the customer by Oak & Almond will be valid until accepted by the customer for a period of 30 days from the date of quotation or estimate.
Prices cannot be guaranteed after this date.
All estimates are subject to fluctuations in the prices of materials, dependent on market prices at the time of purchase.
The price quoted will be exclusive of VAT at the current rate of 20%, unless otherwise stated. It will include all costs and charges relating to packaging, loading, unloading, and delivery costs.
Goods
All goods will conform as specified in the customers order accepted by Oak & Almond, unless agreed to in writing.
Individual orders for goods that have been accepted by Oak & Almond shall be a legally binding contract in their own right between the customer and Oak & Almond.
If a design, pattern, or specification has been supplied by the customer, it will be the responsibility of the customer to ensure that no intellectual or third-party rights shall be infringed for said designs, patterns, and specifications. It is the responsibility of the customer to secure Oak & Almond against legal liability for any infringements of letters, patent, copyright, or registered design or trademark.
Ownership of the goods shall not pass from Oak & Almond to the customer until the customer has paid the price in full, inclusive of VAT.
Orders
We can suspend or cancel the customer's order, without affecting Oak & Almonds legal rights and remedies, if the following applies:
If the customer fails to pay any interim bill and still fails to pay for 7 days after receiving a written notice demanding payment.
If the customer, or anyone employed by the customer, or relation, or agent, interferes with or obstructs the work or fails to make the site available for Oak & Almond, without good reason, following all reasonable attempts to rectify the situation.
If Oak & Almond decides the working relationship with a client has broken down irretrievably. The customer will be held liable for any charges, goods ordered, designs, or work carried out before this point. Payments are non-refundable unless otherwise agreed in writing.
In the event of the order being canceled by a client, the request must be sent in writing to Oak & Almond. The customer will be held liable for charges for any goods ordered, design work, research, or installation work started at the time of cancellation.
Delivery
In the event of any delay or failure to supply goods or complete installation work, Oak & Almond shall not be liable to the customer or in breach of contract if the delay or failure was beyond the reasonable control of Oak & Almond.
Upon completion of the delivery of the goods or installation works, all risk will be passed to the customer unless previously agreed to in writing between the customer and Oak & Almond.
In the event of Oak & Almond being unable to deliver goods to the customer due to the customer not being able to accept them as previously agreed, Oak & Almond shall be entitled to leave the goods in storage, at the customer's expense, until such time as it is possible to fulfill delivery of said goods.
Extras
Any further work that is requested in addition to the works already included in the contract will need to be agreed to in price and scope, in writing to Oak & Almond, before the further works commence.
Disputes
Any disputes should be sent in writing to Oak & Almond within 1 week of the invoice date. If written notification has not been received by Oak & Almond within this time period, then payment in full will be required.
If, having gone through all due process, with written evidence of issues raised, it is deemed by Oak & Almond that the working relationship between Oak & Almond and the customer has irretrievably broken down, the customer shall still be liable to pay for all works already completed, and will be notified in writing of the amount due, to be paid within 7 days of the invoice date.
Guarantee/Liability
In the event of goods being delivered to the customer and it has been agreed that damage has occurred in transit during delivery arranged by Oak & Almond, the customer will be entitled to replacement goods if Oak & Almond has been notified within 24 hours of delivery.
In the event that you, as the customer, find any part of the new furniture is not working correctly namely doors, drawers, shelves, or lighting after installation, you must take pictures and notify us within 7 days for us to return within 30 days and rectify any issues not caused by misuse or accidental damage.
All goods manufactured by a third party, Oak & Almond shall, wherever possible, pass on the warranty to the customer.
6-Year guarantee is offered on all Vinyl wrapped doors and products along with a 2-year guarantee on sprayed or painted finishes. This does not cover fading due to exposure to sunlight, accidental damage, misuse, or if the furniture has not been cared for or used as instructed.
If the deposit invoice has not been paid by the due date, Oak & Almond is not liable for any increase in material costs.
Any delays caused by circumstances beyond the control of Oak & Almond, i.e., war, hostilities, insurrection, pestilences, strikes, riots, fire, storms, accidents, materials not being available, interruptions of supply, industrial disputes, or lawful order, Oak & Almond shall suspend further work until it is deemed reasonable to continue.
In the event of Oak & Almond being prevented by circumstances beyond their control to continue the installation works, Oak & Almond shall have the right to withdraw from further works and will not be held liable under the contract. The customer is still liable to pay for the works already done and shall pay the agreed price in the contract less what has been reasonably agreed by Oak & Almond and the customer for the work that has not been completed.
Damaged Goods
If any goods delivered or manufactured by Oak & Almond or installation work done by Oak & Almond are found to be defective, then Oak & Almond shall, at their own discretion, repair or replace free of charge providing the following conditions:
That notice of the defect has been given to Oak & Almond within 7 days of coming to the customer's attention or within 6 months of the date of the final invoice.
That Oak & Almond were at fault in their design, workmanship, or materials.
That the defect is not solely due to the failure of the customer to store or maintain the goods in compliance with previously agreed instructions provided in writing to the customer. This includes damage due to damp, neglect, or misuse, whether accidental or deliberate, by the customer or a third party, and that no alterations or repairs have been undertaken by the customer without the prior written consent of Oak & Almond.
If any goods requiring repair or replacement have been found to be the fault of the customer, then the goods shall be delivered to Oak & Almond at the customers expense, having been previously agreed to in writing.
Cancellation
Where a contract between Oak & Almond and the customer has been agreed upon, the customer may not cancel the contract unless it has been discussed with Oak & Almond and a written agreement has been issued. In the event of an agreed cancellation, the customer shall accept and pay all expenses that have been incurred up to the time of the cancellation.
Exceptions
Oak & Almond shall not be liable for any consequential loss or damage or other claims for compensation except in the case of death or personal injury caused by the negligence of Oak & Almond.
